For what it's worth, I'm unable to reproduce the problem on ESXi 5.5. Howver the scope of the problem is greater than I initially reported. ESXi 5.1 kernel panics when doing shutdown guest OS on a FreeBSD 9.2 AMD64 guest using the vmware supplied tools, regardless of whether the NIC is vmnet3 or e1000.
